2.3 Account Termination

3. Use of Services

3.1 License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our services for your personal or internal business purposes.

3.2 Acceptable Use

3.3 AI-Generated Content

Our platform uses artificial intelligence to generate marketing content. You acknowledge that:

• AI-generated content may not always be accurate or appropriate
• You are responsible for reviewing and verifying all AI-generated content before use
• You assume all risks associated with using AI-generated content
• We are not liable for any damages resulting from AI-generated content

4. User Content and Intellectual Property

4.1 Your Content

You retain ownership of all content you upload, create, or provide to our services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

• Use, store, process, and display your User Content to provide our services
• Process your User Content through our AI algorithms
• Make necessary technical reproductions and adaptations

4.2 Content Responsibility

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any laws or third-party rights
• Your User Content does not contain malicious code or harmful materials

4.3 Our Intellectual Property

All rights, title, and interest in our services, including our software, algorithms, designs, trademarks, and content (excluding User Content), are owned by Jakex and are protected by intellectual property laws. You may not use our intellectual property without our express written permission.

5. Payments and Subscriptions

5.1 Pricing

Certain features of our services may require payment. All prices are listed on our website and are subject to change with notice. We reserve the right to modify our pricing at any time.

5.2 Billing

By subscribing to a paid plan:

• You authorize us to charge your payment method on a recurring basis
• Billing occurs at the beginning of each billing cycle
• You are responsible for providing accurate and current payment information
• Failed payments may result in service suspension

5.3 Refunds

All sales are final. We do not offer refunds except as required by law or at our sole discretion. If you cancel your subscription, you will retain access until the end of your current billing period.

5.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period.

• You agree to comply with Meta's Platform Terms and Policies

• You acknowledge that Meta's terms and policies also apply to your use

8. Disclaimers and Warranties

8.1 "AS IS" Basis

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that our services will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or completeness of content

8.2 AI Limitations

We do not guarantee the accuracy, quality, or suitability of AI-generated content. You use AI-generated content at your own risk and discretion.

8.3 No Professional Advice

Our services do not constitute professional advice (legal, financial, marketing, or otherwise). You should consult appropriate professionals for specific advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• JAKEX AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• THIS INCLUDES DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Jakex and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your violation of these Terms
• Your violation of any laws or third-party rights
• Your User Content
• Your use or misuse of our services
• Your negligence or willful misconduct

11. Dispute Resolution and Governing Law

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Malaysia, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us at general@jakex.ai. We will attempt to resolve the dispute informally within 60 days.

11.3 Jurisdiction

If informal resolution fails, any disputes arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Malaysia.

11.4 Class Action Waiver

To the extent permitted by law, you agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class or representative action.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of our services after changes become effective constitutes acceptance of the revised Terms.

13. Termination

13.1 By You

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

13.2 By Us

We may suspend or terminate your access to our services at any time, with or without cause, with or without notice, including for:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• Non-payment of fees
• Requests from law enforcement or regulatory authorities

13.3 Effect of Termination

Upon termination, your right to use our services will immediately cease. We may delete your account and User Content. Sections of these Terms that by their nature should survive termination shall survive.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Jakex regarding our services.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, natural disasters, or government actions.

By using our services, you consent to receive electronic communications from us. These communications may include notices, agreements, and other information.
